An organisation has to make a number of decision to achieve its stated objectives. The decision army neither by our single authority are through a meeting . I'm meeting is conducted to make decision on particular subject matter or topics. 10 subject matter of topic presented in the meeting for discussion and decision is called a resolution. Resolution is a written proposal. Normally, the decision on resolution is made on majority basis. It may be in favour or against the subject. How your, it may be approved by the meeting with certain amendment or even postponed for the next meeting.
Objectives/Importance of resolution
A resolution plays an important role in the effectiveness of the official decision. It helps to prepare plants policies and programs in an efficient ways it provides based to achieve the organisational objective. The main importance / objectives of resolution can be for the highlighted as under.
1. To present the problems progress and other related matters of an organisation for discussion and decision in a systematic and organised way.
2. To help the management for making effective decision in a democratic way that is on majority basis.
3 to help the management to formulate plans policies and programs for carrying out the official activities.
4 to act as the documentary evidences for settling misunderstanding and disputes.
5 to help a formulate new rules and regulation are amend the existing.
6 to act as evidence to provide validity to the decision.
Types of resolution
According to Nepal company act 2016 amendment in 2017 as mention below.
1. Ordinary resolution. The resolution that is presented in the general assembly of a company is called ordinary resolution. The general meeting is the meeting of the shareholders of a company that takes place on the completion of official year full stop related to the general and regular activities of a company. They are passed by a simple maturity that is more than 50% of the year holders. The ordinary resolution are generally related to the following matters.
. Edited profit and loss account and balance sheet of the previous year.
. Appointment of the director and auditor.
. Declaration of dividend to be provided to the shareholder
. Remuneration of director and auditor.
2. Special resolution.
Are juloos and that is presented in the special meeting of the shareholder is called a special resolution. Special or urgent meeting is conducted to discuss and decide on some special or abnormal cases. The resolution which are to be passed by a specific majority that is 3/4 or 75% of the members even in the general meeting are also called special resolution. In such a case the effect and importance of the resolution are very high and long term. Hence, a special resolution maybe presented in general or special a meeting. The following are some of the matters which are presented through a special resolution in a meeting.
. Changing the names, objectives and capital of a company.
.Alteration of memorandum or article of association .
. Issuance of bonus shares.
. Winding up of a company.
. Changing the company from private to public or vice versa.
